Audit terms of sale

The terms for buying a ProudSite audit, in plain English.

Last updated: 6 November 2026

1. Who we are

1.1 ProudSite is a trading name of EARTHBOOKINGS LTD., a private company limited by shares, registered in England and Wales, company number 17305953, registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. We are not VAT registered.

1.2 Email (also our address for cancellations, notices and complaints): [email protected]. Phone: 07301 711732. Post: our registered office.

1.3 Definitions:

  • “We” and “us” mean EARTHBOOKINGS LTD. trading as ProudSite.
  • “You” means the person or business buying an audit.
  • A “working day” is Monday to Friday, except bank holidays in England.
  • The “intake form” is the intake questions in the order confirmation we email you. You answer them by replying to that email.

2. Who these terms are for

2.1 The audits are designed for businesses: sole traders, partnerships and companies. You can also buy one as a consumer.

2.2 The law decides who is a consumer by the purpose of the purchase:

  • someone who runs a business on their own and buys an audit for that business is not a consumer;
  • an individual buying wholly or mainly for non-business purposes is a consumer.

If you are buying as a consumer, the Consumer annex (section 15) applies to you as well, and nothing in these terms takes away your rights as a consumer.

3. What each audit includes

3.1 There are three audits. Each covers one website, one location and one main service, which you name on the intake form. We carry out every check listed for your audit on the audit page on the date you bought it, and we keep a copy of that page with your order. At the date of these terms:

    1. Quick Fix Plan (the price shown on the audit page when you order). From public information only:
    • whether your key pages are indexed in Google and Bing;
    • whether crawlers can reach them (by testing what your server returns);
    • your internal links and your structured data;
    • a written plan of fixes in priority order.
    1. Local Audit (the price shown on the audit page when you order). Everything in the Quick Fix Plan, plus:
    • your Google Business Profile and Bing Places listing, from what is public plus screenshots you send us;
    • how 3 competitors you name appear;
    • 10 AI answers to questions drafted and tailored to your business, on two AI assistants: ChatGPT and Google Gemini, with the websites the assistants cite.
    1. Full Audit (the price shown on the audit page when you order). Everything in the Local Audit, plus:
    • with your read-only access, what Google Search Console and Bing Webmaster Tools show for your site: the searches you appear for, clicks and indexing problems;
    • 30 AI answers to questions drafted and tailored to your business (5 questions × 2 AI assistants × 3 fresh logged-out sessions each) instead of 10;
    • the full written report.

3.2 For the Full Audit, we agree the AI questions with you before any of them are asked. You approve them, or edit them, by email. For the Local Audit, we write the AI questions from your intake form and tailor them to your business. You do not need to approve them.

3.3 You receive a written report in plain English, with the evidence for each finding, and a list of actions in priority order. Each action says who does it, roughly how long it takes and how you will know it is done. For each AI question (Local Audit and Full Audit) we record whether you were named, whether you were linked, your position in the answer and every website cited.

3.4 Follow-up (Local Audit and Full Audit only): one round of follow-up questions by email, sent within 14 days of the day we deliver the report. We answer them within 5 working days. The Quick Fix Plan does not include a follow-up round.

3.5 After delivery of any audit we also offer to talk the report through, if you would like that; you arrange it with us by email. This call is a free extra, not part of the audit you bought.

4. What the audits do not include

4.1 Making any change to your website, listings or accounts. The audit tells you what to fix; doing the work is separate.

4.2 Ongoing monitoring or repeat checks.

4.3 More than one website, one location or one main service.

4.4 Anything listed for a higher audit than the one you bought.

4.5 Any promise of a ranking, or that an AI assistant will name or recommend you (section 9).

4.6 Anything else not listed in section 3. If you ask for something outside your audit, we tell you before doing it, and do it only if we both agree in writing, at a price we tell you first.

5. How the contract is made and paid for

5.1 You buy an audit through our payment page, which is run by Stripe. The steps are:

    1. read the audit page and these terms;
    1. choose your audit and click its button;
    1. on Stripe’s page, check the audit and the price, enter your details (you can correct any typing before you pay), and tick the box to accept these terms;
    1. click the payment button, which says that you are paying.

The contract is in English.

5.2 The contract is made when Stripe confirms your payment. Within a few minutes we send you, by email and before we start any work, an order confirmation that includes a full description of your audit, the key information in Annex 2, the model cancellation form and a copy of these terms as an attached text file, which you can save and print. We keep a copy of your order and of the terms that applied to it, and send it again on request.

5.3 Price: the fixed price of the audit you choose, in pounds: as shown on the audit page when you order.

  • We are not VAT registered, so no VAT is added.
  • There are no other charges.
  • Payment is taken in full when you order, by card or another payment method shown on Stripe’s page.

5.4 If we cannot accept your order (for example, the business is outside the UK, or the site is plainly not a single local business), we refund you in full within 14 days and tell you why.

6. When we deliver

6.1 The start date is the day we have everything your audit needs:

    1. Quick Fix Plan: your intake form;
    1. Local Audit: your intake form;
    1. Full Audit: your intake form, your approval of the AI questions, and read-only access to Google Search Console and Bing Webmaster Tools (or your email telling us you will not give it).

6.2 We deliver the report at the latest within:

  • 1 working day of the start date for the Quick Fix Plan;
  • 2 working days for the Local Audit;
  • 3 working days for the Full Audit.

6.3 If we do not have everything in 6.1 within 30 days of payment, we remind you twice. If we still do not have it 14 days after the second reminder, we go ahead with what we have:

  • we deliver your audit from public information, using any questions we proposed and anything else you have sent us;
  • the start date is the day after those 14 days;
  • the report says clearly what was not checked;
  • the price does not change, because you chose not to provide what was needed.

If we do not know which website to audit, we cannot go ahead: we end the contract by email and refund you in full.

6.4 If we miss our delivery time in 6.2, you may cancel by email at any time before we deliver, and we refund you in full within 14 days. Or you can wait for the report.

7. Access you may give us (Full Audit)

7.1 For the Full Audit you add our email address as a read-only user on Google Search Console and on Bing Webmaster Tools. We tell you the role to choose.

7.2 We never ask for your passwords, and never ask for access that lets us make changes. For your Google Business Profile we use what is public plus screenshots you send.

7.3 When we deliver the report we remind you how to remove our access. We stop using it on delivery. If you have not removed it 14 days after the follow-up window closes, we remove ourselves where the tool allows.

8. If access or information is unavailable

8.1 If you do not give access to something, or it does not work, we check what is public and the report says clearly what was not checked. We do not fill the gap with guesses.

8.2 This does not change the price of a Full Audit, because you still receive its 30 recorded AI answers, the competitor work and the full report.

9. No guarantee of rankings or AI mentions

9.1 We promise to do every check listed for your audit with reasonable care and skill, to show you the evidence, and to tell you what we could not check.

9.2 We do not promise any ranking in Google or Bing, any position in a map or AI answer, or that any AI assistant will name, link or recommend you. Search engines and AI assistants decide that, and their answers can change between sessions and over time. Google says: “No one can guarantee a #1 ranking on Google.”

9.3 The report records what we observed on the dates we checked. It is not a forecast.

10. No lock-in

10.1 Each audit is a one-off purchase. There is no subscription, nothing renews, and we do not take any further payment unless you buy something else.

11. Cancellation and refunds

11.1 Business buyers. Once you have paid, you cannot cancel for convenience. You are entitled to a refund only:

  • if we cannot accept your order (5.4);
  • if we cannot go ahead because we do not know which website to audit (6.3);
  • if we miss our delivery time (6.4);
  • under 12.1 (something we did not do or got wrong);
  • under 16.2 (events outside our control).

11.2 Consumers also have the right to cancel in section 15.

11.3 Refunds go to the payment method you used, within 14 days.

12. If something goes wrong, and our liability

12.1 If we have not done a check we promised, or the report contains a factual mistake about what we observed, tell us within 30 days of delivery. We will put it right at no cost within 10 working days. If we cannot, we refund a fair part of the price, up to the whole price.

12.2 Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.

12.3 Subject to 12.2 and section 15, our total liability to you for all claims together under or in connection with your audit, whether in contract, tort (including negligence) or otherwise, is limited to the price you paid for that audit.

12.4 Subject to 12.2 and section 15, we are not liable for loss of profits, revenue, business or goodwill, or for indirect or consequential loss. In particular, we are not liable for the results of changes you or anyone else make in response to the report.

12.5 If you are a consumer:

  • We are responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. Loss is foreseeable if it was obvious it would happen, or if we both knew it might happen when the contract was made.
  • We are not responsible for loss that was not foreseeable.
  • 12.3 never stops you recovering the price you paid.
  • Section 15 also applies.

13. Confidentiality and your data

13.1 We keep your audit, your search data and anything you send us confidential. We use it only to carry out the audit and to deal with any follow-up or complaint.

13.2 We will not publish your audit, your results or your business name without your written consent.

13.3 Our privacy notice explains how we handle personal data, including the section “If you buy an audit”.

  • Where we read personal data inside your Search Console or Bing Webmaster Tools account on your behalf (Full Audit), we do so as your processor, and the data processing terms in Annex 1 apply.
  • The Business Profile screenshots you send us and the AI answers we record are our evidence for the report. We are responsible for them as controller, and we keep them as 13.4(c) says.

13.4 What we keep and when we delete it:

    1. The order and payment record: 6 years from the end of our company financial year it relates to, because a limited company must keep its accounting records that long.
    1. The report: 6 years from delivery, only so that we can deal with any claim about the audit. (The Limitation Act 1980 s.5 period is six years from when a cause of action accrues, which for an audit claim will usually be on or before delivery; 6 years from delivery is our policy, not a statutory date.) From 12 months after delivery, our kept copy is redacted: for individuals other than you (reviewers, people or sole traders named in AI answers), every identifying detail (name, website address, address, quoted review text) is replaced by a description such as “a reviewer” or “a sole trader in the same trade”. Your copy is yours.
    1. The observation worksheet, screenshots of AI answers and your Business Profile screenshots: kept until 12 months after delivery, then deleted (the report keeps the summary).
    1. Any export from your Search Console or Bing Webmaster Tools: deleted 30 days after the follow-up window closes, unless you ask us in writing to keep it longer.

13.5 Ownership. Once you have paid, the report is yours to use for any purpose, including sharing it with your web person. Our method, templates and checklists stay ours.

14. Complaints

Email [email protected]. As our own service commitment, we acknowledge a complaint within 2 working days and reply in full within 5 working days.

15. Consumer annex (only if you are buying as a consumer)

15.1 Your right to cancel. You may cancel within 14 days after the day the contract is made, without giving a reason. If we did not give you the information about this right before the contract, the period is longer:

  • if we give it to you within 12 months from the start of the 14 days, the period ends 14 days after you receive it;
  • otherwise, it ends 12 months after the 14 days would have ended.

15.2 How to cancel. Tell us of your decision by any clear statement, for example an email to [email protected], or use the model cancellation form at the end of these terms. You have cancelled in time if you send your message before the period ends.

15.3 Starting within the 14 days. We will not start your audit within the cancellation period unless you expressly ask us to.

  • The order confirmation asks you this. You ask us to start early only by writing that request in your own reply (we never assume it), and we keep your reply as the record.
  • If you do not ask, we start on day 15, and the delivery times in 6.2 run from then. Until then we do no work on your audit, including drafting the AI questions, but you can return the intake form.

15.4 If you cancel after asking us to start, you pay an amount for what we supplied up to the time you told us you were cancelling, in proportion to the full audit.

  • It is worked out from the total price or, if that price is excessive, from the market value of what was supplied.
  • You pay nothing for that period if we did not give you the information about the right to cancel and about this payment before the contract, or if you did not ask us to start early.

15.5 When the right ends. When your audit is fully performed depends on the audit:

  • Quick Fix Plan: when we deliver the report.

  • Local Audit and Full Audit: these include the report and the follow-up round in 3.4, so they are fully performed only when both are done: when the 14-day follow-up window has closed and we have answered any follow-up questions you sent within it.

  • If you asked us to start within the 14 days and acknowledged that you would lose the right to cancel once the audit is fully performed, your right to cancel ends at that point.

  • Quick Fix Plan: if you asked us to start early and acknowledged this, delivery (normally within 1 working day of the start date) ends your right to cancel, so you may lose it well before the 14 days are up. Until delivery you can cancel, paying for what we supplied under 15.4.

  • Local Audit and Full Audit: in practice, the follow-up window means full performance will normally come after your 14-day cancellation period has ended. So you keep the right to cancel for the whole 14 days, paying for what we supplied under 15.4.

15.6 Refunds. We refund what you paid, less any amount due under 15.4, without undue delay and no later than 14 days after the day you told us. We refund to the payment method you used unless you agree otherwise, and we charge no fee.

15.7 If we do not deliver properly. Your audit must be performed with reasonable care and skill, and what we told you about it before you bought is part of the contract.

  • If it is not performed with reasonable care and skill, or not as we told you, you can ask us to perform it again.
  • If that is impossible, or not done within a reasonable time and without significant inconvenience to you, you may be entitled to a price reduction, which in some cases can be the full price.
  • If the audit is not performed within a reasonable time, or something else we told you is not met, you may be entitled to a price reduction.
  • You may also have other remedies, such as damages.

Sections 6.3, 11.1, 12.1, 12.3 and 12.4 do not take away or limit any of these rights, and the 30-day period in 12.1 does not apply to you.

15.8 Courts. If you are a consumer, you may bring proceedings in the courts of the part of the UK where you live, and we may bring proceedings against you only there.

16. General

16.1 These terms, the audit page as it stood when you ordered, the order confirmation and (where it applies) Annex 1 are the whole agreement. Nothing in this clause limits liability for fraudulent misrepresentation. For a consumer, it does not exclude anything we told you before the contract that the law makes part of it.

16.2 Neither of us is responsible for delay caused by events outside reasonable control (for example, an outage at an AI assistant or search tool). If that stops the audit for more than 30 days, either of us may end the contract by email, and we refund the price in full.

16.3 We may use subcontractors for parts of the audit only with your written agreement, and we remain responsible for them.

16.4 If a court finds part of these terms unenforceable, the rest still applies. No one else can enforce these terms.

16.5 These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction, subject to 15.8.
